Besides the Terms and conditions agreement, this Usage agreement specifies the conditions of using the downloaded material from the Pixmac website.

Le Membre Téléchargeur Non Exclusif reconnait et accepte d"être lié par les termes et conditions de ce Contrat.

1.

The Non-Exclusive Downloading Member acknowledges and agrees that this Agreement does not effectuate any sale of the Work. Except for the rights specifically sublicensed under this Agreement, the Non-Exclusive Downloading Member shall not have any right, title or interest in or to, and in any event shall have no ownership of, the Work, including any copyright and other intellectual property rights.

2.

Subject to the terms and conditions of this Agreement, Pixmac hereby grants to the Non-Exclusive Downloading Member a non-exclusive, perpetual, worldwide, non-transferable sublicense to use, reproduce or display the Work an unlimited number of times in the authorized media solely for (a) personal or educational purposes and (b) in connection with the operation of a business, and in the case of each of (a) and (b), with the right to sell or distribute for sale the Work or any reproductions thereof, if incorporated or together with or onto any item of merchandise or other work of authorship, in any media or format now or hereafter known. Le Membre Téléchargeur Non Exclusif ne peut pas accorder d’autres sous-licences. Le Membre Téléchargeur Non Exclusif a le droit de transférer des fichiers contenant l'œuvre ou les travaux dérivés autorisés à ses clients directs et employés, ou de laisser ses sous traitants reproduire l'œuvre, si toutefois ceux-ci acceptent de respecter les restrictions du présent contrat. Conformément à son activité, le Membre Téléchargeur Non Exclusif peut également transmettre à une tierce partie (comme un imprimeur) des copies temporaires de l'œuvre essentielles à la réalisation du produit final et sans lesquelles le produit ne pourrait être finalisé. Les tiers et sous traitants n'ont aucun droit supplémentaire d'utiliser l'œuvre et ne peuvent y avoir accès ou l'extraire de tout autre fichier fourni. The Non-Eclusive Downloading Member may create a digital library, network configuration or similar arrangement to allow the Work to be viewed by their employees, partners and clients. The Non-Exclusive Downloading Member shall pay to Pixmac a sublicense fee in accordance with Pixmac´s Terms and conditions agreement. Pour les formats électroniques, en dépit de toute stipulation contraire prévue dans ce Contrat, la reproduction, la distribution ou l"affichage de l'œuvre par le Membre Téléchargeur Non Exclusif est limité(e) à une résolution de 400 x 400 pixels dans les utilisations du site web (quelle que soit la résolution de l'œuvre disponible au téléchargement depuis le site Pixmac.com ), et est limité(e) à la résolution disponible au téléchargement depuis le site Pixmac.com dans d’autres utilisations électroniques. A des fins d'éclaircissement mais soumise aux restrictions susmentionnées, ladite sous-licence est destinée à permettre l'utilisation, la reproduction et l'affichage de l'œuvre dans des situations ou activités commerciales, comme par exemple une affiche pour un commerce (y compris sur un site web), l'affichage dans un bureau ou autre établissement commercial, sur des matériels publicitaires, de promotion ou analogues.

For clarification purposes but subject to the foregoing restrictions, it is intended that this sublicense shall permit use, reproduce, distribute or display the Work in connection with design template applications intended for resale and use, reproduce, distribute or display the Work in connection with any goods or services intended for resale or distribution, including, without limitation, mugs, t-shirts, posters, greeting cards, posters or other merchandise, and any of the foregoing in "print on demand" or tangible or electronic formats, as applicable; use, reproduce, distribute or display the Work in connection with a PR campaign aimed at the promotion of goods or services to the media.

In addition, the Non-Exclusive Downloading Member shall have the right to create modified and derivative works based upon the original Work (derivative works within the meaning of the USA Copyright Act which incorporates but is not substantially similar to the original Work). The permitted use of the modified and derivative works includes all the uses permited to the Non-Exclusive Downloading Member with respect to the original work as well as for the derivative works in items for re-sale including t-shirts, mugs, calendars, posters mouse pads and alike.

En dépit de toute stipulation contraire prévue dans ce Contrat, et sans limitation des restrictions susmentionnées, le Membre Téléchargeur Non Exclusif reconnait, accepte et s'engage à ne pas :

(a) sous-licencier, vendre, céder, transmettre ou transférer l'un des droits contenus dans ce contrat. Vendre, licencier, ou distribuer l'œuvre ou l'œuvre modifiée comme fichier autonome ou partie d'une base de données en ligne ou de tout autre base de données, ou tout produit dérivé contenant l'œuvre qui permettrait à un tiers de télécharger, d'extraire ou d'accéder à l'image comme un fichier autonome ;

(b) partager l'œuvre avec une autre personne physique ou morale, sauf comme autorisé dans ce Contrat ;

(c) mettre l'œuvre en ligne dans un format téléchargeable, poster l'œuvre sur un forum, ou permettre à l'œuvre d'être distribuée sur téléphone portable

(d) télécharger ou stocker l'œuvre sur plus d'un ordinateur à la fois, sauf si le Membre Téléchargeur Non Exclusif réalise une seule copie de sauvegarde pour la stocker sur un média extérieur à l'ordinateur unique autorisé ;

(e) utiliser, reproduire, distribuer ou afficher l'œuvre (y compris et sans limitation l'œuvre seule ou en combinaison avec une autre œuvre protégée par le droit d'auteur) d'une manière diffamatoire ou calomnieuse, obscène ou indécente ;

(f) supprimer toute notice de copyright, marque commerciale, autre droit de propriété intellectuelle ou tout autre information susceptible d'apparaitre sur ou en association avec l'œuvre ou intégré à celle-ci sous sa forme originale téléchargée, il est entendu que le Membre Téléchargeur Non Exclusif doit reproduire toutes ces notices dans une copie de sauvegarde du fichier comprenant l'œuvre que le Membre Téléchargeur réalise ;

(g) incorporer l'œuvre dans une marque de fabrique ou de service;

(h) commettre tout acte lié à l'œuvre qui contrevient la loi, la règlementation ou le code dans une juridiction applicable ;

(i) utiliser l'œuvre d'une manière éditoriale sans associer à l'image les crédits suivants : "© [Nom du Photographe] / Pixmac.";

(j) commettre tout acte lié à l'œuvre qui viole ou enfreint les droits de la propriété intellectuelle et autres droits de toute personne physique ou morale, y compris et sans limitation, les droits moraux du créateur de l'œuvre et les droits de toute personne qui, ou toute personne dont la propriété, figure dans l'œuvre ; ou

(k) commettre tout acte lié à l'œuvre qui associe celle-ci, son créateur, les personnes ou propriétés figurant dans l'œuvre le cas échéant, à des mouvements ou partis politiques, religieux, économiques ou analogues.

(l) utiliser l'œuvre dans un sens qui pourrait faire apparaitre les modèles représentés sur la photo dans une situation inconfortable ou d'une façon qui pourrait porter préjudice aux modèles comme (de manière non exhaustive)

(1)l'utilisation d'une image dans un cadre pornographique

(2)la publicité pour le tabac et l'alcool

(3)la publicité pour les clubs d'adultes, les sites de rencontres ou les services d'escort girl

(4)l'attachement à une cause politique

(5) la publicité pour les produits pharmaceutiques ou parapharmaceutiques, en particulier, et de manière non exhaustive, les produits d'hygiènes, les produits contraceptifs ou les produits liés aux troubles sexuels

(6)l'utilisation dans un contexte diffamatoire, illégal, immoral ou portant atteinte aux bonnes mœurs

(7) créer de fausses identités (par exemple permis de conduire, identités internet)

(8) applications utilisant l'image comme avatar ou comme une personne ou entité interactive virtuelle

(9) image marquée du nom de quelqu'un d'autre, prétendant que le modèle soit une autre personne

As indicated above, the Non-Exclusive Downloading Member shall pay to Pixmac a sublicense fee in accordance with Pixmac´s Terms and conditions agreement.

5.

The Non-Exclusive Downloading Member acknowledges and agrees that Pixmac and/or its licensor retains all rights, title and interest in and to the Work (except for the rights granted pursuant to this Agreement), and that neither title nor any ownership interest in or to the Work is transferred to the Non-Exclusive Downloading Member by virtue of this Agreement. Pixmac and/ors its licensor (as applicable) shall also retain the right to use, reproduce or display the Work solely to demonstrate the Work as part of his or her professional portfolio. Without any limitation to any other rights that Pixmac may retain, Pixmac shall continue to have the right to use the Work for internal archival and reference purposes.

Outre les déclarations et garanties effectuées par le Membre Téléchargeur Non Exclusif ci-dessus, Pixmac et le Membre Téléchargeur Non Exclusif déclarent et garantissent par le présent acte avoir le droit de conclure ce Contrat.

7.

The Non-Exclusive Downloading Member agrees to indemnify, defend and hold harmless Pixmac and its affiliates, and their respective officers, directors, employees, owners, agents, representatives, licensors and (sub)licensees (collectively, "Indemnitees") from and against all claims, expenses (including attorney fees) or other liability arising from the Non-Exclusive Downloading Member"s breach of any of his or her representations, warranties or obligations under this Agreement, and from any and all uses of the Work, including, without limitation, any claims or actions based on infringement or violation of intellectual property rights, libel or slander or other defamation, right of privacy or "false light", right of publicity or blurring or distortion or alteration whether or not intentional. Pixmac a le droit, à sa seule discrétion, d'assurer la défense de toute réclamation, demande en justice ou affaire qui fait l'objet d'une indemnisation par le Membre Téléchargeur Non Exclusif en faisant appel à un avocat de son choix. Le Membre Téléchargeur Non Exclusif doit coopérer pleinement avec Pixmac dans le cadre de la défense de ladite réclamation, demande en justice ou affaire.

Le Membre Téléchargeur Non Exclusif accepte que Pixmac, ses affiliés, leurs dirigeants, administrateurs, employés, propriétaires, mandataires, représentants, concédants de licence et (sous-)licenciés (autre que le Membre Téléchargeur), ne soient pas tenus pour responsables des dommages directs, accessoires, indirects ou immatériels, suite à une utilisation ou à une non-utilisation de l'œuvre, même si lesdites parties ont été informées, ou informées de la possibilité, de tels dommages.

Le Membre Téléchargeur Non Exclusif reconnait que Pixmac ne possède généralement pas les autorisations pour les marques, logos et autres éléments pouvant être protégés par un droit de propriété intellectuelle, représentés dans certaines œuvres. L'obtention de ces autorisations est de la responsabilité du Membre Téléchargeur Non Exclusif.

Le Membre Téléchargeur Non Exclusif reconnait que Pixmac ne possède généralement pas les autorisations des propriétaires de biens meubles ou immeubles, des fabricants et designers des produits commerciaux tels que notamment, les automobiles, les avions, les vêtements, etc. pouvant être représentés dans certaines œuvres. Il est généralement impossible pour les banques d'images ou les artistes d'obtenir une autorisation générale pour ce type de produits mais il est souvent possible des les obtenir au cas par cas. L'obtention de ces autorisations est de la responsabilité du Membre Téléchargeur Non Exclusif.

L'OEUVRE EST FOURNIE « TELLE QUELLE » ET, SAUF STIPULATION EXPRESSE DANS CE CONTRAT, AUCUNE PARTIE N'EFFECTUE DE DECLARATIONS NI DE GARANTIES, EXPRESSES OU IMPLICITES, COMME LES GARANTIES IMPLICITES DE QUALITE MARCHANDE OU D'APTITUDE A UN EMPLOI PARTICULIER.

This Agreement shall continue in perpetuity unless terminated in accordance with this Section 9. Pixmac may at any time terminate this Agreement with respect to any Work in the event of any breach by the Non-Exclusive Downloading Member of any of his or her representations, warranties or obligations under this Agreement. The Non-Exclusive Downloading Member may at any time terminate this Agreement. Each of Pixmac and the Non-Exclusive Downloading Member shall notify the other in the event it, he or she terminates this Agreement. Pixmac shall also have the right, in its sole discretion, to deny the downloading of any Work from the Pixmac.com website. A compter de la résiliation d"une licence pour une œuvre en particulier, le Membre Téléchargeur Non Exclusif doit immédiatement cesser d'utiliser cette œuvre, détruire ou, à la demande de Pixmac, retourner cette œuvre à Pixmac , détruire ou retirer l'œuvre de son système informatique et de ses périphériques de stockages (physiques ou électroniques), et s'assurer que ses clients font de même.

10.

Upon the termination of this Agreement, the Non-Exclusive Downloading Member shall cease using the Work and destroy all copies of the Work, and all derivative works and related materials (if any), in his or her possession or control. At Pixmac"s request, the Non-Exclusive Downloading Member shall certify in writing to such destruction of the Work, derivative works and/or related materials. Termination of this Agreement shall not relieve the Non-Exclusive Downloading Member from any payment obligations that may have arisen prior to such termination. The provisions of Sections 1, 4, 5, 6, 7, 8, 10 and 11 shall survive the termination of this Agreement.

11.

This Agreement shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to any conflict of laws principles. Any legal action, suit or proceeding arising out of or relating to this Agreement shall be instituted in a court of competent subject matter jurisdiction in the federal or state courts of the Czech Republic, and the Non-Exclusive Downloading Member and Pixmac each submit to the personal jurisdiction of such court and waive any right each might otherwise have to claim lack of personal jurisdiction or inconvenience of forum.

La relation entre Pixmac et le Membre Téléchargeur Non Exclusif dans le cadre de ce Contrat est celle d'entrepreneurs indépendants. A des fins d'éclaircissement, les parties ne sont pas coentrepreneurs, associés, mandant et mandataire, ni employeur et employé. Les parties n'ont en aucune façon le pouvoir d'engager ou d'obliger l'autre.

The Non-Exclusive Downloading Member agrees that he or she shall be responsible for all use, sales, value-added and similar taxes and duties imposed by any governing authority in any jurisdiction in connection with the license granted to him or her under this Agreement.

No waiver on the part of Pixmac to exercise any power, right, privilege or remedy under this Agreement, and no delay on the part of Pixmac to exercise any such power, right, privilege or remedy, shall preclude any other or further exercise thereof or of any other power, right, privilege or remedy.

Pixmac shall have the right, in its sole discretion, to assign any or all of its rights or obligations under this Agreement. The Non-Exclusive Downloading Member shall have no right to assign any of his or her rights or obligations under this Agreement.

This Agreement shall be inure to the benefit of, and be binding upon, Pixmac and the Non-Exclusive Downloading Member, and their respective successors and assigns. Nothing in this Agreement, express or implied, is intended to confer upon any person or entity, other than Pixmac and the Non-Exclusive Downloading Member, and their respective successors and assigns, any rights, remedies, obligations or liabilities under or by reason of this Agreement.

Whenever the context so requires, the singular number shall include the plural and vice versa, and the masculine, feminine and neutral genders shall include each other.

Si une condition ou disposition de ce Contrat est nulle, illégale ou non applicable, toutes les autres dispositions de ce Contrat demeurent néanmoins en pleine vigueur.
